The Reliable Power Behind Web3 Organizations

Case Study: Multi Jurisdictional Token Launch

A Web3 infrastructure startup (client confidential) approached Lemma with an ambitious goal: launch a new token and set up entities spanning three different jurisdictions, without overloading their internal team. The founder had prior crypto experience and high expectations for service quality. They knew from experience how complex token launches can be – legal entities, technical deployment, investor management – and wanted a partner who could make the process seamless. Lemma was engaged to provide end-to-end support, going far beyond basic incorporation services. Our mission was to eliminate friction and ensure a compliant, on-time token generation event while the client focused on core product and technology.

Launching a token with a multi-entity structure is no small feat, even for a crypto-savvy founder. The project’s requirements posed several key challenges:

  • Cross-Jurisdiction Entity Setup: The token ecosystem required legal entities across three jurisdictions (including a Cayman Islands foundation and two “exempt” companies in other favorable jurisdictions). Each entity had a distinct purpose – one holding IP, one handling operations, one acting as the token-issuing foundation – and each needed local directors and officers. Coordinating the formation of these entities simultaneously and ensuring they met all local regulations was a major undertaking. The founder did not want to juggle law firms and registration agents in multiple countries; they wanted this handled turnkey.
  • Complex Stakeholder Coordination: With so many parties involved (the client’s technical/development team, Lemma’s token deployment specialists, external legal counsel in multiple jurisdictions, directors for each entity, and 20+ investors), keeping everyone aligned was critical. Miscommunication could lead to costly delays or errors (e.g., a contract not signed in time, or a smart contract bug unnoticed). The client was concerned about how to maintain clear communication channels and decision-making with all these stakeholders, especially given different time zones no prior experience with the various service providers.
  • Parallel Workstreams & Tight Timeline: Several project components had to progress in parallel to meet the desired launch date. Smart contracts for the token had to be audited and ready, legal documents (like Token Purchase Agreements, bylaws for the entities, director consent letters, etc.) needed to be executed, and the investor presale had to be organized – all roughly concurrently. Any delay in one stream (for example, if legal paperwork was slow) could hold up the entire launch. The founder’s expectation was a quick, efficient execution where these moving pieces came together perfectly at TGE. Ensuring this level of project management rigor was a significant challenge, especially because the founder’s small team didn’t have the bandwidth to drive it all.

Lemma tackled these challenges with a full-stack, hands-on approach. Our team acted as the operational command center for the token launch, coordinating between technical, legal, and investor relations facets. Key elements of our solution included:

  1. Operational Command & Communication: We immediately spun up dedicated communication channels for the project. A shared chat was created to bring together the client team, Lemma staff, lawyers, and other stakeholders. We scheduled a standing weekly stand-up to review progress, surface blockers, and assign next steps. Lemma’s project lead acted as the single point of contact, so the founder wasn’t inundated with calls from lawyers or random status emails – everything flowed through a structured update process. This multilateral comms strategy meant everyone always had the latest information. Crucially, Lemma also implemented a task tracker visible to all parties, mapping every step from entity filings to token contract deployment. This way, nothing fell through the cracks and the founder had full transparency without micromanaging.
  2. Entity Formation & Infrastructure Setup: Lemma took charge and liaised with counsel to ensure establishing all required entities. We coordinated with on-the-ground partners to register a Cayman Islands Foundation Company, a Panama Foundation and a BVI Exempt Company (in separate jurisdictions chosen for their regulatory environments that are most favorable for different parts of the business). Each entity’s formation documents, director appointments, and bank account setups were handled for the client. We also set up critical infrastructure for these entities: for example, we arranged electronic signature platforms for swift signing of documents, created secure shared drives for document management, and configured multi-signature (multi-sig) wallets for the foundation’s treasury to ensure proper control over funds. By taking care of these administrative and technical setups, Lemma ensured the legal foundation for the TGE was rock-solid without the founder having to become an expert in paperwork or compliance logistics.
  3. Token Mint Preparation & Technical Liaison: On the technical side, Lemma served as the liaison between the client’s developers and our internal token deployment experts. Early on, we facilitated a thorough smart contract review for the token: Lemma’s blockchain engineers worked with the client’s technical team to facilitate the audit of the token contract code. When it was time to execute the TGE, Lemma orchestrated a real-time call with all necessary parties on deck – ensuring that the token was minted to the correct treasury wallets, initial liquidity was added to the chosen DEXs, and post-mint transactions (like distributing tokens to the vesting contract and foundation reserves) were done immediately and correctly. In parallel, Lemma oversaw the execution of all supporting legal documents – token offer agreements, board resolutions approving the token issuance, etc. – to make sure the technical launch and legal framework were perfectly synchronized.
  4. Presale Management & Investor Relations: Because the client planned a presale (private token sale to VCs) before the public launch, Lemma took on a “white-glove” investor relations role on the client’s behalf. We coordinated the entire invitation process from the foundation entity: drafting the invitation letters and RTPAs (Restricted Token Purchase Agreement) in collaboration with legal counsel, then running the outreach to selected venture funds. Lemma set up a streamlined process where investors received the documents via our e-signature system, along with clear payment instructions that accommodated contributions on multiple networks, and a help contact for any questions. We actively tracked who had signed and who had funded their commitments, sending gentle reminders to keep things on schedule. For less crypto-native investors, Lemma was available for extra support – for example, walking them through creating a wallet or explaining how the token vesting smart contract works. This hand-holding ensured that all participating investors that met the requirements within the deadline were comfortably onboarded. Additionally, Lemma coordinated with a reputable token distribution/vesting service provider, so that when the time came, all presale investors would automatically receive their tokens in accordance with their vesting schedules (removing an additional operational headache for the client down the road).
  5. Post-Mint Strategic Support: Lemma’s involvement didn’t end at the token launch. We know that the first few weeks and months post-TGE are critical for a token’s long-term success. Our team set up monitoring for the token’s liquidity pools (LP) and market activity. We kept an eye on how the token was trading on the initial DEX, watching for any signs of low liquidity or abnormal price movements that might require action from the engaged market maker. Furthermore, Lemma leveraged its industry network to accelerate token listings on key platforms: we prepared and submitted a listing application to CoinGecko immediately after TGE (listing went live within 48 hours of our application submission). Our team also began introductions and conversations with selected centralized exchanges – exchanges often give faster and friendlier responses when dealing with a known service provider like Lemma. These efforts align with the project’s 5-year goal: after establishing trading on DEXs, expand to larger CEX listings and broader market integration. With Lemma’s strategic advisory, the client started planning a roadmap for future exchange listings, Lemma became a long-term partner in the project’s growth, not just a one-off service for the launch.

Thanks to Lemma’s comprehensive support, the token launch project achieved outcomes that exceeded the founder’s expectations:

  • Seamless Execution: The entire token launch process was executed flawlessly and on schedule. Despite the complexity of three jurisdictions and many parallel tasks, the TGE happened on the target date without any last-minute scrambles or delays. Every necessary document was signed by the correct director or stakeholder at the right time, and every technical step was completed without error. This kind of smooth execution is rare in token launches – and it was exactly what the client was hoping for when engaging Lemma.
  • Founder Focus Preserved: One of the most striking outcomes was how little operational stress fell on the founder throughout this process. By having Lemma act as the project manager and coordinator, the founder and their small team were able to focus 100% on core business and product development during the launch phase. They attended the weekly 30-minute stand-ups and a handful of ad-hoc calls, but did not need to constantly chase lawyers or engineers for updates. In a debrief, the founder noted that Lemma probably saved them “dozens of hours per week” in management overhead. This is time that was redirected to prepping the product for the influx of users post-launch and engaging with the community – critical tasks for a young Web3 project.
  • Successful Fundraising & Investor Satisfaction: The presale managed by Lemma was a resounding success. All investors received countersigned agreements and prompt communication, leaving a positive impression about the professionalism of the project. Notably, even investors new to crypto praised how smooth the onboarding process was – no confusion about how to receive tokens or where to sign, since Lemma provided clear step-by-step guidance. This positive investor experience not only secures funding but also builds the project’s reputation, which can be invaluable for future rounds or partnerships.
  • Strong Token Performance: Post-launch, the token’s performance has been very encouraging. Within the first few weeks of trading, the token maintained healthy liquidity on its DEX pool and saw its price increase steadily. To date, the token is up roughly 50% from its initial listing price, and it has avoided extreme volatility. This steady growth is a sign of confidence from the market and community. While many factors influence token price, the well-orchestrated launch – including clear communication to the community, trust from investors, and proper market maker involvement – certainly contributed to this stability. The founder can point to a growing market cap and a stable token as indicators that the project is on the right track.
  • Long-Term Compliance and Growth Roadmap: Because Lemma set up robust legal and operational foundations, the project is well-positioned for long-term success. All three entities serve distinct purposes, are in good standing and meet economic substance requirements in their respective jurisdictions, but Lemma’s value-add went far beyond just ticking compliance boxes. The structures in place now enable the Foundation to sign contracts, hire vendors, and protect contributors with limited liability – things that wouldn’t be possible if it remained an informal organization. Additionally, with Lemma’s continued strategic support, the project has a clear roadmap for the next steps: plans to pursue listings on at least 2 major CEXs within the next year, a framework for ongoing treasury management, and governance mechanisms ready to scale as the community grows. In essence, the client gained not just a one-time service, but a trusted partner to navigate the evolving challenges of running a successful decentralized project.

This case illustrates why Lemma is the right choice for crypto founders who need more than just basic setup services. Many service providers stop at helping create entities or satisfy “economic substance” on paper. Lemma, however, offers much more – we become an extension of your team, aligning technical execution, legal compliance, and operational strategy under one roof. For this client, that meant: one weekly meeting, one team to hold accountable, and zero worry that something would fall through the cracks. Lemma’s deep experience with leading Web3 projects into TGE and beyond (including working with top protocols and foundations in the industry) meant we had playbooks and connections ready to deploy, from legal intricacies in the Cayman Islands to getting fast responses from exchange listing teams. In the words of our team: “Our job is to make the complex invisible to you. One weekly meeting. Everything handled.” This founder came in with high expectations and a healthy skepticism, but left with a successful token launch and peace of mind. For any founder on the fence about which service provider to choose, Lemma’s track record of delivering end-to-end, white-glove project launch support speaks for itself – we don’t just set up entities, we set you up for long-term success. If you need assistance, feel free to reach out to Lemma.
